TeraFunders – Terms and Conditions

Welcome to TeraFunders, owned and operated by WEBSTERS SHAPE THE WEB INC., a company incorporated in Ontario, Canada. These Terms and Conditions (“Terms”) govern your use of the TeraFunders website (the “Site”) and the services (collectively, the “Services”) provided by TeraFunders. By accessing or using our Site and Services, you agree to be bound by these Terms. Please read them carefully, as they constitute a binding agreement between you and TeraFunders. If you do not agree to these Terms, you must discontinue using the Site and Services.

TeraFunders provides consultancy services to startups, helping them secure cloud credits, SaaS discounts, and other digital tools to aid in their growth. Our services include, but are not limited to:

• Digital Credit Consultation

• Startup Technology Stack Advisory Services

• Pitch Deck Design & Refinement

• Assistance in securing discounts on SaaS products

• Landing Page and Website Design & Development

2. Eligibility

By using TeraFunders’ services, you represent that you are at least 18 years old, legally capable of entering into contracts, and using the services for business purposes, not as an individual consumer.

3. Payment Terms

Payments are required upfront to secure the services provided by TeraFunders. All transactions are processed securely through third-party payment processors. By making a payment, you agree to the pricing outlined on our Site and understand that all payments are non-refundable unless otherwise specified in our refund policy.

4. Use of Credits and Discounts

TeraFunders facilitates access to third-party cloud credits and SaaS discounts. However, approval of credits and discounts is at the discretion of the third-party providers (e.g., AWS, Google Cloud, Azure, etc.). TeraFunders does not guarantee acceptance of your application for these credits or discounts.

You are responsible for complying with the terms and conditions set by the providers offering these credits or discounts.

5. Client Responsibilities

You are responsible for providing accurate, complete, and timely information to TeraFunders to facilitate the service you have purchased. TeraFunders is not responsible for any delays or issues caused by incorrect or incomplete information provided by the client.

6. Refund Policy

TeraFunders offers limited refunds in specific circumstances, such as if we are unable to secure the credits promised in your selected service. Refund requests must be submitted within 30 days of the service delivery, and TeraFunders reserves the right to investigate the claim before issuing a refund. Refunds are granted at the sole discretion of TeraFunders.

7. Intellectual Property

All content, designs, logos, documents, and other materials provided by TeraFunders remain the intellectual property of WEBSTERS SHAPE THE WEB INC. You are granted a limited license to use the materials provided solely for your own business purposes. You may not copy, modify, distribute, or exploit these materials without prior written consent from TeraFunders.

8. Confidentiality

TeraFunders will treat all client information as confidential. We will not share your business plans, financial information, or other proprietary data with third parties, except as required by law or with your express consent.

9. Limitation of Liability

TeraFunders is not liable for any indirect, incidental, special, or consequential damages, including loss of revenue or data, arising out of your use of the Site or Services. The total liability of TeraFunders, in any case, is limited to the amount paid for the service.

10. Indemnification

You agree to indemnify and hold TeraFunders and its affiliates harmless from any claims, damages, or liabilities arising from your use of our services or violation of these Terms.

11. Modification of Services and Terms

TeraFunders reserves the right to modify or discontinue the services at any time. We also reserve the right to update these Terms. Any modifications will be posted on the Site with an updated effective date. By continuing to use our services after the changes are posted, you agree to be bound by the revised Terms.

12. Governing Law

These Terms and any disputes arising from them are governed by the laws of Ontario, Canada. Any disputes will be resolved in Ontario through arbitration, unless both parties agree to an alternative resolution.

13. Termination

TeraFunders reserves the right to terminate or suspend your access to the Services at any time if you violate these Terms or engage in activities that are harmful to TeraFunders or its clients. Upon termination, you will still be responsible for any outstanding payments and obligations under these Terms.
